Jeff Tenenbaum is one of the nation’s leading nonprofit attorneys, and also is an accomplished author, lecturer, and commentator on nonprofit legal matters. As Managing Partner of the nationally recognized, five-attorney, Washington, DC-based Tenenbaum Law Group PLLC, Jeff counsels senior management and boards of directors of his clients on the broad array of legal and sensitive business and governance issues affecting charities, trade and professional associations, foundations, international NGOs, arts and cultural institutions, think tanks, educational institutions, and other nonprofit organizations. He is widely regarded as an innovative, highly responsive attorney with great judgment who provides practical, understandable advice extending to virtually every nonprofit legal issue and best practice. Jeff also regularly represents clients before Congress, federal and state regulatory agencies, and in connection with governmental and internal investigations, enforcement actions, litigation, and in dealing with the media.s

He has extensive experience with a broad array of nonprofit legal issues, including tax and federal tax exemption, corporate governance, copyrights and trademarks, meeting, vendor, and other contracts, grants, fundraising regulation and commercial co-ventures, charitable gift restrictions, employment law and CEO employment contracts, antitrust, certification and standard-setting, mergers and joint ventures, chapters, subsidiaries, and affiliates, lobbying and political activity regulation, Americans with Disabilities Act compliance, insurance, and international operations, among others.

Jeff is frequently called upon by major media outlets – in television, radio, print, online, and elsewhere – to provide commentary on news stories involving nonprofit legal issues and developments, and has served as an expert witness in several court cases on nonprofit legal matters. For 19 years, he practiced law at Venable LLP in Washington, DC; he was a partner and chaired its nonprofit practice for most of that time, served on the firm’s Board of Directors for several years, and co-chaired the firm’s management review process in 2016. Jeff started his career in the nonprofit community by serving as Legal Section manager at the American Society of Association Executives, following several years working on Capitol Hill as a legislative assistant.

Jeff was the 2006 recipient of the American Bar Association’s Outstanding Nonprofit Lawyer of the Year Award and was an inaugural (2004) recipient of the Washington Business Journal’s Top Washington Lawyers Award. He is one of only five lawyers in the U.S. Legal 500 Not-for-Profit “Hall of Fame.” He is listed in the 2012-24 editions of The Best Lawyers in America®/U.S. News & World Report® for Nonprofit/Charities Law nationally and was selected for inclusion in the 2014-24 editions of Washington, DC Super Lawyers in the Nonprofit Organizations category. He was the 2015 recipient of the New York Society of Association Executives’ Outstanding Associate Member Award, the 2004 recipient of The Center for Association Leadership’s Chairman’s Award, and the 1997 recipient of the Greater Washington Society of Association Executives’ Chairman’s Award. Jeff is the author of the book Association Tax Compliance Guidenow in its second edition, published by the American Society of Association Executives. He also is the author and photographer of the award-winning book Quarantine Cocktails. Jeff is a contributor to numerous ASAE books, including Professional Practices in Association Management, Association Law Compendium, The Power of Partnership, Essentials of the Profession Learning System, Generating and Managing Non-Dues Revenue in Associations, and several Information Background Kits. In addition, he is a contributor to Exposed: A Legal Field Guide for Nonprofit Executives, published by the Nonprofit Risk Management Center. Jeff is a frequent author on nonprofit legal topics, having written or co-written more than 1,000 articles.

Jeff is also a frequent lecturer on nonprofit legal topics, having delivered or moderated over 1,500 speaking presentations, including regularly for organizations such as ASAE, American Bar Association, United Philanthropy Forum, CEO Update, Association Trends, Greater Washington Society of CPAs, California Society of Association Executives, Nonprofit Advisory Board, and many others. He previously served on the faculty of the ASAE Virtual Law School.

The Southern Poverty Law Center’s Hatewatch quotes TLG Managing Partner Jeff Tenenbaum in “Experts: VDARE’s Real Estate Deals May Cost Group Nonprofit Status”: “The VDARE Foundation, a nonprofit based in New York that leading white nationalist activist Peter Brimelow founded in 2008, purchased the castle for $1.4 million in February 2020. The foundation serves as an umbrella organization for VDARE’s website, which it claims is a nonprofit journalistic outlet but consists of anti-immigrant and white nationalist posts. The hate group used donations for the purchase, according to court documents.” “Jeff Tenenbaum, a managing partner at the Washington, D.C.-based Tenenbaum Law Group, which specializes in federal nonprofit law, told Hatewatch he did not have enough information on the real estate deals and VDARE’s composition to make a judgement. From the Preface: “Many have said they have found silver linings in this horrific pandemic. For me, one of them has been the rediscovery of my mixology skills. While I had been a bartender during college in Philadelphia and when I worked on Capitol Hill after that, it’s been ages since I professionally tended bar. But that has not stopped me from fashioning myself an amateur barkeep for family and friends. In mid-March 2020, I started experimenting with new cocktail creations at home – including infusions, bitters, extracts, atomizers, torches, inventive ice cubes, rare liquors, and fresh and unique ingredients, along with some fun glassware – and posting them on social media with photos and detailed descriptions. Pretty soon, my drink posts were getting more attention and feedback than anything else I posted (except maybe my cooking posts). So, I kept it going.”

“That’s where regulations start clashing. You can try to prevent someone with COVID-19 from entering the workplace, but the steps available remain limited,” according to Jeffrey S. Tenenbaum of the Tenenbaum Law Group, a practice specializing in nonprofit law and based in Washington, D.C. “While obviously not completely analogous, the EEOC has advised that flu vaccinations may not be mandated for all em­ployees,” said Tenenbaum. “Exceptions have to be made for re­quests for disability, medical or religious accommodation,” he said. “It is not lawful to require all employees to be vaccinated. And, it must be coupled with appropriate notice to employees. As such, the EEOC has advised that employers should consider encouraging, rather than requiring, employees to get the flu vac­cine each year.” It might evolve into a Constitutional fight if the federal govern­ment attempts to mandate citizens get vaccinated, Tenenbaum said. Even in the heyday of polio, the federal government did not mandate taking the vaccine. An example, he said, is the potential liability if a firm offers flu vaccines on premise. Even though waivers would be signed, there still are issues, such as employees feeling pressured into being inoculated by management or their peers.

Generally speaking, no, according to attorney Jeffrey Tenenbaum of the Tenenbaum Law Group. Waivers “cannot hurt the association from a legal risk management perspective,” and requiring a waiver will likely help the organization, Tenenbaum wrote in a recent article. However, “waivers are regularly challenged and nullified by courts for a variety of reasons,” so it is not a good idea to rely on them as a “complete liability shield.”

"While it is unclear how the IRS may apply its 16-year-old guidance to the modern-day virtual trade show and whether its guidance today might be different, taken literally, it would seem a virtual trade show of any kind would not qualify for the existing trade show safe-harbor exception from UBIT,” said association attorney Jeff Tenenbaum, managing partner of Tenenbaum Law Group. “That being said, that does not automatically mean that virtual trade show income would be taxable as UBI; it would simply be ineligible for the safe harbor and subject to the standard three-prong UBIT analysis. Moreover, while the UBI exception for corporate sponsorship income does not apply to ‘qualified conventions and trade shows,’ if virtual conferences are deemed to not fall within that definition, then it may well be possible to restructure some of these business relationships as corporate sponsorships. In short, this is clear as mud."

And the relationship between FPL and the not-for-profit groups it supports could put them in the crosshairs of the IRS, an attorney who specializes in non-profits told The Post.

“This is definitely problematic from a federal tax law perspective,” attorney Jeffrey Tenenbaum said.

“When these not-for-profit groups take actions that benefit private companies such as FPL, rather than the public or a disadvantaged group, the IRS could review their nonprofit status, which allows them to operate without paying federal income taxes,” Tenenbaum said.

Jeffrey Tenenbaum, head of the nonprofit practice at the DC-based law firm Lewis Baach Kaufmann Middlemiss PLLC, appeared on NPR Affiliate WOSU Public Media to discuss the steps nonprofits can take to prevent the type of misappropriation alleged in the Jeffrey Epstein case.

Tenenbaum says he does not know the details of the Wexner-Epstein arrangement and cannot comment on it directly, but that there are measures nonprofits can take to avoid misappropriation.

“Here in this particular case involving Wexner and Epstein, it certainly seems like none of these steps were taken," Tenenbaum says. "Things like requiring double signatures, double authorization, back up documentation before funds can be paid or transferred, segregation of duties amongst employees, doing inventories of your fixed assets."

He also says Wexner could have set up electronic alerts so he knew every time a payment or transfer was made.

"Making sure that everyone in the finance and accounting department is required to take a certain length of vacation each year, at least two weeks, to see if that person is involved in a fraud,” Tenenbaum adds. “Because if that person's gone and someone else is assuming his or her duties, it gives you a chance to spot what's going on."

The IRS can take action in cases of exorbitant compensation, but it rarely does.

Jeff Tenenbaum, head of the nonprofit practice at the DC-based law firm of Lewis Baach Kaufmann Middlemiss PLLC, said for 501(c)(3)s, the IRS can levy penalty taxes on those receiving excessive compensation as well as those who approved it.

He said for 501(c)(6)s such as the CPA institute, “revocation of tax-exempt status is the IRS’ only remedy — and one rarely utilized.”

Other practitioners aren't so sure about the APA argument. “You can't generalize about the procedural propriety of revenue procedures,” Jeffrey Tenenbaum, a nonprofit attorney at Lewis Baach Kaufmann Middlemiss PLLC in Washington, told Bloomberg Tax. “It depends on the substance of the revenue procedure.”

Tenenbaum said Montana's APA position “may be a bit of a stretch.” The lawsuit, filed July 24 in the U.S. District Court for the District of Montana, “certainly highlights the fact this seems to be a political dispute dressed up in procedural arguments—on both sides,” he said.

Still, Tenenbaum said, states “absolutely” have a legitimate argument for the IRS to provide them with information they need to enforce their own standards for entities’ tax-exempt status.

“Associations have the right to apply reasonable restrictions [on firearms] that go beyond local law since their events are private,” said Jeffrey S.
